Terms of Service
These terms govern your use of this website and set out the basis on which we work together. Every engagement is additionally governed by a signed proposal or statement of work, which takes precedence over anything on this page.
Engagements
Work begins from a written proposal or statement of work describing the scope, the team, the timeline, and the fee. Nothing on this website is an offer to perform work, and no engagement exists until both sides have signed.
Fees and invoicing
- Fees, payment schedule, and any expenses are set out in the applicable proposal or statement of work.
- Invoices are payable within the term stated on the invoice.
- Work outside the agreed scope is quoted and agreed in writing before it starts.
Intellectual property
On full payment, deliverables created specifically for you under an engagement are yours. We retain ownership of our pre-existing materials — the frameworks, tooling, internal systems, and know-how we bring with us — and grant you the licence needed to use the deliverables as intended. Nothing in an engagement transfers rights in our own ventures or products.
Confidentiality
Each side protects the other's confidential information, uses it only for the engagement, and returns or deletes it on request. We will not name you as a client or describe the work publicly without your agreement.
Your responsibilities
Engagements depend on timely access, decisions, and materials from you. You confirm you have the rights to anything you ask us to use, and you remain responsible for how delivered work is operated and for its compliance with the law that applies to your business.
Warranties and liability
We perform our work with reasonable skill and care. This website is provided “as is.” To the extent permitted by law, our liability arising from an engagement is limited to the fees paid under it in the three months before the claim, and neither side is liable for indirect or consequential loss.
Termination
Either side may end an engagement on the notice stated in the proposal or statement of work. On termination you pay for work performed and committed up to the effective date, and we hand over the deliverables completed to that point.
Governing law
These terms are governed by the law and courts stated in your engagement agreement. Where none is stated, the law of the place of our registered office applies. Questions? Get in touch.
